BY-LAWS
LEHIGH VALLEY CHAPTER OF THE PENNSYLVANIA GUILD OF CRAFTSMEN

ARTICLE 1
Name
 The name of this association shall be Lehigh Valley Chapter of the Pennsylvania Guild of Craftsmen.

ARTICLE 2
Object and Purpose

Recognizing that the making of craft enriches all, the Lehigh Valley Chapter of the Pennsylvania Guild of Craftsmen seeks to encourage the practice of and nurture excellence in heritage and contemporary crafts. We do this through education, advocacy and support of the practicing craftsmen.

ARTICLE 3
Membership and Dues

Section 1 – Membership in the Chapter is open and available to any person who is in accord with the aims and purposes of the Chapter, and who may aid in their attainment and who may be engaged in or interested in the history or practice of handcrafts on a non-discriminatory basis, without regard to race, color or national origin.

Section 2 – Prospective members may obtain a membership application from the Chapter or the State, but must attend a regular Chapter meeting after payment of dues to attain full membership status.

Section 3 –

  1. Annual dues for Chapter membership shall be set at the May Chapter meeting by the consent of a majority of attending members.  The Board of Directors shall recommend an appropriate amount for the upcoming year.
  2. Annual dues for Chapter and State membership are required of a Chapter member. Payment by December 31 for the upcoming year is the sole responsibility of the Chapter member. Membership renewal forms will be handled by the State.

Section 4 – All members in good standing have the right to vote, to participate in meetings, and to hold office in the organization.

Section 5 –A former member may be reinstated by applying for new membership, using the State application form.

ARTICLE 4
Officers and Elections

Section 1 – The officers of the Chapter shall be President, Vice President, Recording Secretary, Corresponding Secretary and Treasurer.

Section 2 – At the May meeting of each election year, the President shall appoint a Nominating Committee of three members, one of whom shall be from the Board of Directors. The Nominating Committee shall select a slate of persons to serve as officers, directors and a representative to the State Board, and shall announce the slate of officers at the October meeting.  The slate will be published in the November Newsletter.

 

Section 3 – Election of members to the Board of Directors, the officers, and a representative to the State Board shall be conducted at the November meeting, and the majority of members in good standing present shall decide the election.  Any member in good standing present at the November meeting may make additional nominations from the floor.

 

Section 4 – Three Chapter Directors are to be elected for 2 year terms.

 

Section 5 – The President shall not be elected to more than two consecutive 2 year terms in this office.  All other members of the Board of Directors shall be eligible for re-election.  The State Representative shall serve a 2 year term.

 

Section 6 – The Board of Directors and the officers shall assume office as of January 1st after the election. 

 

Section 7 – In case a vacancy occurs among the Officers of the Chapter, the Board of Directors shall have the power to fill the vacancy until the next election.

 

ARTICLE 5

Duties of Officers

 

Section 1 – The President shall preside at all meetings of the Chapter and at all meetings of the Board of Directors.  The President shall appoint such standing or special committees as shall be required.  He shall have power to appoint such additional officers as may be required and shall have the power to fill all vacancies on committees. He may sign or endorse checks, drafts, or notes in the event of the absence or disability of the Treasurer. He shall have power to call special meetings of the Board of Directors or of the Chapter at his discretion or when requested by the Board of Directors or upon written request of one-third of the members of the Chapter then in good standing.  He shall be a member of the Board of Directors and of all committees, except the Nominating Committee.

Section 2 – The Vice President shall assume all the duties of the President in the event of the absence or disability of the President, or during a vacancy in the office of the President. The Vice President shall serve as chairman of the Program Committee.

Section 3 – The Recording Secretary shall be charged with the custody of the records of the Chapter and shall keep minutes of all meetings of the Chapter and of the Board of Directors and shall perform such other duties as may be assigned by the Board of Directors. The Recording Secretary shall submit copies of the minutes of all Chapter and Board meetings to each member of the Board before the next board meeting.

Section 4 – The Corresponding Secretary shall conduct the correspondence of the Chapter and shall perform such other duties as may be assigned by the Board of Directors.  In the absence of the Recording Secretary, the Corresponding Secretary shall take the minutes of the meetings.

Section 5 – The Treasurer shall be responsible for all funds of the Chapter, shall sign checks for disbursement of funds, shall collect and receive all monies due, shall pay all vouchers as directed by the Board of Directors, and shall present a financial statement to the Board and to the Chapter at each meeting thereof or more often if required.

ARTICLE 6
Board of Directors

Section 1 – The Board of Directors shall consist of the President, Vice President, Recording Secretary, Corresponding Secretary, Treasurer, three elected Chapter Directors, one elected State Representative, and the Past President.  Chairmen of standing committees shall serve on the Board at the request of the President. All members of the Board of Directors shall be members of the Chapter in good standing.

Section 2 – The Board of Directors shall direct the policies of the Chapter and shall have charge of all its affairs and funds. The Board may make recommendations to the membership for such additional rules and regulations from time to time as may be deemed necessary and proper for the best interest of the Chapter, always providing that all such rules and regulations are consistent with the Bylaws and Standards.  These recommendations must be voted upon by the majority of attending membership for approval. A positive vote by the majority of attending members in good standing is necessary for passage of recommendations.

Section 3 – Any policies rules, and/or regulations formulated by the Board of Directors as specified in Section 2 of this article may be reversed by the membership only by a vote of two-thirds of those members in good standing present at a regularly scheduled business meeting of the Chapter.

Section 4 – I case of a vacancy on the Board of Directors, the Board shall have the power to fill the vacancy until the next election.

Section 5 – A majority of the Board of Directors, including the President of the Chapter, shall constitute a quorum.

Section 6 – Members have the right to attend any Board meeting and may request a topic be put on the agenda by notifying the President in advance of the meeting.

ARTICLE 7
Standing Committees and Chairmen

Section 1 – The following shall be the Standing Committees.  Program, Membership, Hospitality, Standards, Publicity, Show, Newsletter and any additional committees as may be necessary and desirable, may be appointed by the President.

Section2 – The Program Committee shall be responsible for providing a varied and challenging program for Chapter meetings

Section 3 – The Membership Chairman shall be responsible for maintaining an active list of the membership and for the publication of the membership list. In case of prospective members, the Chairman shall provide the State application form at their first meeting.  The Membership Chairman shall make available membership cards.

Section 4 – The Hospitality Chairman shall be responsible for enlisting members to be in charge of the social hour at meetings.

Section 5 – The Standards (Jurying) Chairman shall be responsible for a committee to enforce the Standards Statement of the Chapter.  The Chairman shall further check at each Guild-sponsored show that each craftsperson is displaying his proper craft.  If he cannot attend, he shall appoint a representative to take his place.

Section 6 – The Publicity Chairman shall be responsible for supplying information to local news media concerning the activities of the Chapter and State and shall inform the State office of Chapter activities.

Section 7 – The Show Chairman shall be responsible for the arrangement of local public shows, demonstrations, and displays of handcrafts sponsored by the Chapter.

Section 8- The Newsletter Chairman shall prepare the Newsletter to be sent to the membership one week before meetings, either by regular mail or E-mail.

ARTICLE 8
Meetings

Section 1 – The Chapter shall hold regular monthly meetings with the exception of July and August at a time and place to be established by the Board of Directors.

Section 2 – The Board of Directors shall hold monthly meetings, with the exception of July and August, before the regular monthly meeting, the time to be determined by the President.

Section 3 – Special meetings shall be called by the President as required.

ARTICLE 9
Guild Sponsored Shows

Section 1 – The definition of a guild-sponsored show is a show that is put on by the Lehigh Valley Chapter of the Pennsylvania Guild of Craftsmen.  The show is open to juried Chapter members, State juried members or invited guests agreed upon by the show committee.

Section 2 – Eligibility for each show shall be determined on a first come, first served basis. In the event there are more applications than there are spaces, priority will be given to members with greater attendance at monthly meetings and committee involvement.  Decisions are at the discretion of the Show Chairman after consultation with the Board of Directors. Applications will be due three months prior to the show date and must include show fees.

Section 3 – On occasion, the Guild may open a show to juried members of other state chapters.  Participants will be chosen by submitting an appropriate application.

ARTICLE 10
Standing Rules

The Board of Directors shall from time to time, establish standing rules for conducting all business of the Chapter not specifically provided for in the By-Laws.

ARTICLE 11
Amendments

These By-Laws may be revised or amended in part or in whole by a two-thirds affirmative vote of the voting members present at a meeting of the Chapter, provided that the amendment shall have been approved by a quorum of the Board of Directors at a regular meeting of the Board and that notice shall have been sent to the entire membership prior to the date set for the meeting at which the amendment is to be presented, providing that all such changes are consistent with the Pennsylvania Guild of Craftsmen By-Laws.
